OF THE AERIS NOVA FOUNDATION<\/h2>\n\n\n\n<p class=\"has-text-align-center wp-block-paragraph\"><strong>dated 16 December 2025<\/strong><\/p>\n\n\n\n<p class=\"has-text-align-center wp-block-paragraph\" id=\"h-1\">\u00a7 1.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The foundation operating under the name <strong>Fundacja Aeris Nova<\/strong>, hereinafter referred to as the <strong>&#8220;Foundation&#8221;<\/strong>, operates pursuant to the Act of 6 April 1984 on Foundations and the provisions of this Statute.<\/p>\n\n\n\n<p class=\"has-text-align-center wp-block-paragraph\" id=\"h-2\">\u00a7 2.<\/p>\n\n\n\n<ol start=\"1\" class=\"wp-block-list\">\n<li>The Foundation may use a distinctive graphic logo with wording indicating its name.<\/li>\n\n\n\n<li>The Foundation may use seals, emblems, flags, colors, badges, and organizational insignia in accordance with applicable regulations.<\/li>\n\n\n\n<li>The Foundation acquires legal personality upon entry into the National Court Register (KRS).<\/li>\n<\/ol>\n\n\n\n<p class=\"has-text-align-center wp-block-paragraph\" id=\"h-3\">\u00a7 3.<\/p>\n\n\n\n<ol start=\"1\" class=\"wp-block-list\">\n<li>The registered seat of the Foundation is Wieliczka.<\/li>\n\n\n\n<li>The Foundation operates within the territory of the Republic of Poland and abroad.<\/li>\n\n\n\n<li>The Foundation collaborates with domestic organizations having identical or similar operational objectives.<\/li>\n\n\n\n<li>The Foundation collaborates with foreign and international organizations having identical or similar operational objectives.<\/li>\n\n\n\n<li>The Foundation may establish certificates, badges, honorary medals, and award them, along with other prizes and distinctions, to natural and legal persons who have rendered merit to the Foundation or contributed to the realization of its objectives.<\/li>\n<\/ol>\n\n\n\n<p class=\"has-text-align-center wp-block-paragraph\" id=\"h-4\">\u00a7 4.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Foundation is established for an indefinite duration.<\/p>\n\n\n\n<p class=\"has-text-align-center wp-block-paragraph\" id=\"h-5\">\u00a7 5.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Supervision over the activities of the Foundation is exercised by the minister responsible for environmental affairs.<\/p>\n\n\n\n<p class=\"has-text-align-center wp-block-paragraph\" id=\"h-6\">\u00a7 6.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The objective of the Foundation is to promote, support, and initiate activities for the sustainable development of Poland and the world, and in particular:<\/p>\n\n\n\n<ol start=\"1\" class=\"wp-block-list\">\n<li>Activities for the protection of the natural environment and natural heritage, including the protection of biological and landscape diversity.<\/li>\n\n\n\n<li>Science, education, schooling, and upbringing, including through raising public awareness and knowledge regarding the state of the natural environment and its impact on social and economic development.<\/li>\n\n\n\n<li>Activities supporting the development of local communities and fellowships.<\/li>\n\n\n\n<li>Activities supporting economic development, including entrepreneurship development.<\/li>\n\n\n\n<li>Activities for the protection of cultural heritage, culture, art, and tradition.<\/li>\n\n\n\n<li>Activities aimed at equalizing opportunities for vulnerable groups at risk of social exclusion, as well as unemployed persons and those at risk of job loss.<\/li>\n\n\n\n<li>Activities providing technical, training, informational, and financial support to non-governmental organizations.<\/li>\n\n\n\n<li>Activities promoting international cooperation, European integration, and developing contacts between societies.<\/li>\n\n\n\n<li>Promotion and organization of volunteer work.<\/li>\n\n\n\n<li>Dissemination and protection of consumer rights, human rights, civil rights, and freedoms, as well as activities supporting the development of democracy.<\/li>\n<\/ol>\n\n\n\n<p class=\"has-text-align-center wp-block-paragraph\" id=\"h-7\">\u00a7 7.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Foundation realizes its objectives through:<\/p>\n\n\n\n<ol start=\"1\" class=\"wp-block-list\">\n<li>Indicating methods, creating opportunities, inspiring, and undertaking practical actions to improve the state of the natural environment, in particular through biodiverse afforestation and tree planting, and counteracting global climate change.<\/li>\n\n\n\n<li>Conducting informational, publishing, educational, and promotional\/advertising activities within the scope of statutory objectives.<\/li>\n\n\n\n<li>Promoting pro-ecological techniques and new solutions, including alternative energy sources and forms of transport.<\/li>\n\n\n\n<li>Promoting the principles of sustainable forest management, sustainable forms of agriculture, and ecotourism.<\/li>\n\n\n\n<li>Performing treatments and implementing solutions that protect and increase biological diversity.<\/li>\n\n\n\n<li>Planning and executing renaturalization and revitalization projects.<\/li>\n\n\n\n<li>Organizing and assisting in the organization of scientific conferences, symposia, seminars, meetings, workshops, exhibitions, trade fairs, and other educational and popularizing initiatives conducive to the Foundation&#8217;s objectives.<\/li>\n\n\n\n<li>Organizing festivals and artistic events conducive to the Foundation&#8217;s objectives.<\/li>\n\n\n\n<li>Organizing ecological culture centers.<\/li>\n\n\n\n<li>Organizing and promoting eco- and agritourism.<\/li>\n\n\n\n<li>Purchasing, leasing land, or applying other forms of care in relation to areas of high natural value.<\/li>\n\n\n\n<li>Participating in and building partnerships and coalitions serving the natural environment, economic revitalization, and local communities.<\/li>\n\n\n\n<li>Engaging the business sector in activities contributing to the achievement of the Foundation&#8217;s objectives.<\/li>\n\n\n\n<li>Initiating and developing cooperation with domestic and foreign scientists and specialists in the field of environmental protection and sustainable development.<\/li>\n\n\n\n<li>Initiating, supporting, and undertaking research and implementation activities aimed at improving the state of the natural environment.<\/li>\n\n\n\n<li>Promoting pro-ecological methods for reducing pollution and emissions.<\/li>\n\n\n\n<li>Providing legal counseling.<\/li>\n\n\n\n<li>Conducting environmental and consumer education.<\/li>\n\n\n\n<li>Providing technical, training, informational, and financial support to non-governmental organizations.<\/li>\n\n\n\n<li>Preparing state-of-the-environment reports, environmental protection plans, natural documentation, legal opinions, expert evaluations, strategies, programs, projects, and forecasts concerning environmental protection and sustainable development.<\/li>\n\n\n\n<li>Disseminating and protecting consumer rights.<\/li>\n\n\n\n<li>Disseminating and protecting human rights and civil rights.<\/li>\n\n\n\n<li>Initiating and developing cooperation with local government and governmental authorities conducive to the Foundation&#8217;s objectives.<\/li>\n\n\n\n<li>Lobbying members of the legislative and executive authorities at all levels regarding the realization of statutory objectives.<\/li>\n\n\n\n<li>Charitable activities, particularly through establishing funds, awarding prizes, and granting scholarships to individuals and institutions.<\/li>\n\n\n\n<li>Participating in administrative proceedings concerning matters related to interference with the natural environment.<\/li>\n\n\n\n<li>Activities for the benefit of family, motherhood, parenthood, and the dissemination and protection of children&#8217;s rights.<\/li>\n\n\n\n<li>Activities for the benefit of children and youth, including leisure and recreation activities for children and youth.<\/li>\n\n\n\n<li>Carrying out other necessary actions serving the implementation of statutory objectives.<\/li>\n<\/ol>\n\n\n\n<p class=\"has-text-align-center wp-block-paragraph\" id=\"h-8\">\u00a7 8.<\/p>\n\n\n\n<ol start=\"1\" class=\"wp-block-list\">\n<li>The property of the Foundation consists of the founding fund contributed by the Founder in the amount of <strong>PLN 1,000<\/strong> (say: one thousand Polish zlotys) and all other property (movable and immovable), financial resources, and property rights acquired by the Foundation in the course of its operations.<\/li>\n\n\n\n<li>The property of the Foundation derives from:\n<ul class=\"wp-block-list\">\n<li>donations, inheritances, bequests, subsidies, grants, public donations, and sponsorship,<\/li>\n\n\n\n<li>income from festivals, competitions, auctions, and lotteries,<\/li>\n\n\n\n<li>European Union funds,<\/li>\n\n\n\n<li>funds provided by government and local administrative units,<\/li>\n\n\n\n<li>income from immovable and movable property and property rights,<\/li>\n\n\n\n<li>public collections,<\/li>\n\n\n\n<li>bank interest on held funds and securities,<\/li>\n\n\n\n<li>revenues from other sources received or acquired during the Foundation&#8217;s operations,<\/li>\n\n\n\n<li>income from economic (business) activities conducted by the Foundation, if conducted.<\/li>\n<\/ul>\n<\/li>\n<\/ol>\n\n\n\n<p class=\"has-text-align-center wp-block-paragraph\" id=\"h-9\">\u00a7 9.<\/p>\n\n\n\n<ol start=\"1\" class=\"wp-block-list\">\n<li>The Foundation conducts:\n<ul class=\"wp-block-list\">\n<li><strong>unpaid public benefit activity<\/strong>, within the scope specified in \u00a7 7 of the Statute,<\/li>\n\n\n\n<li><strong>paid public benefit activity<\/strong>.<\/li>\n<\/ul>\n<\/li>\n\n\n\n<li>Paid public benefit activity may be conducted within the scope of \u00a7 7 of the Statute.<\/li>\n\n\n\n<li>The decision to undertake paid public benefit activity in the scope referred to in paragraph 2 is made by the Management Board in the form of a resolution.<\/li>\n\n\n\n<li>Each type of activity is separated to an extent allowing for the determination of revenue, costs, and activity results.<\/li>\n\n\n\n<li>The Foundation may conduct economic (business) activity in Poland and abroad in accordance with applicable legal provisions. The decision to commence or terminate economic activity is made by the Management Board.<\/li>\n\n\n\n<li>Income from economic activity is designated for the realization of the statutory objectives of the Foundation.<\/li>\n\n\n\n<li>Economic activity may be conducted directly by the Foundation or through plants and other organizational units created by it, including in the form of a company or other business entity.<\/li>\n<\/ol>\n\n\n\n<p class=\"has-text-align-center wp-block-paragraph\" id=\"h-10\">\u00a7 10.<\/p>\n\n\n\n<ol start=\"1\" class=\"wp-block-list\">\n<li>The governing body of the Foundation is the <strong>Management Board of the Foundation<\/strong>, hereinafter referred to as the <strong>&#8220;Management Board&#8221;<\/strong>.<\/li>\n\n\n\n<li>In contracts between a member of the Management Board and the Foundation, the Foundation is represented by another member of the Management Board.<\/li>\n\n\n\n<li>Members of the Management Board may receive remuneration for duties performed in connection with their function. The amount of remuneration in this respect may not exceed three times the average monthly remuneration in the enterprise sector announced by the President of Statistics Poland (GUS) for the previous year.<\/li>\n<\/ol>\n\n\n\n<p class=\"has-text-align-center wp-block-paragraph\" id=\"h-11\">\u00a7 11.<\/p>\n\n\n\n<ol start=\"1\" class=\"wp-block-list\">\n<li>The Management Board may consist of up to <strong>5 members<\/strong>, including the President, appointed for an indefinite period.<\/li>\n\n\n\n<li>Members of the Management Board are appointed and dismissed by the Management Board.<\/li>\n\n\n\n<li>Membership in the Management Board ceases as a result of:\n<ul class=\"wp-block-list\">\n<li>written resignation,<\/li>\n\n\n\n<li>loss of civic rights as a result of a final court conviction for an intentional crime,<\/li>\n\n\n\n<li>death,<\/li>\n\n\n\n<li>dismissal.<\/li>\n<\/ul>\n<\/li>\n<\/ol>\n\n\n\n<p class=\"has-text-align-center wp-block-paragraph\" id=\"h-12\">\u00a7 12.<\/p>\n\n\n\n<ol start=\"1\" class=\"wp-block-list\">\n<li>The Management Board directs the activities of the Foundation and represents it externally.<\/li>\n\n\n\n<li>The competencies of the Management Board include:\n<ul class=\"wp-block-list\">\n<li>setting the main directions of the Foundation&#8217;s activities,<\/li>\n\n\n\n<li>managing the day-to-day operations of the Foundation,<\/li>\n\n\n\n<li>implementing statutory objectives,<\/li>\n\n\n\n<li>drawing up work plans and budgets,<\/li>\n\n\n\n<li>managing the Foundation&#8217;s assets,<\/li>\n\n\n\n<li>representing the Foundation,<\/li>\n\n\n\n<li>employing staff and determining their remuneration,<\/li>\n\n\n\n<li>approving annual activity reports and financial statements.<\/li>\n<\/ul>\n<\/li>\n<\/ol>\n\n\n\n<p class=\"has-text-align-center wp-block-paragraph\" id=\"h-13\">\u00a7 13.<\/p>\n\n\n\n<ol start=\"1\" class=\"wp-block-list\">\n<li>Meetings of the Management Board take place as needed, but not less than once a year.<\/li>\n\n\n\n<li>Meetings of the Management Board are convened by the President by sending information about the date by e-mail or other electronic means of distance communication, or, if this is not possible, by registered letter at least 3 days prior to the scheduled meeting.<\/li>\n\n\n\n<li>All members of the Management Board must be informed of the meeting.<\/li>\n\n\n\n<li>The Management Board makes decisions by way of resolutions adopted by a simple majority of votes.<\/li>\n\n\n\n<li>In the event of a tie, the President&#8217;s vote shall be decisive.<\/li>\n<\/ol>\n\n\n\n<p class=\"has-text-align-center wp-block-paragraph\" id=\"h-14\">\u00a7 14.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It is prohibited to:<\/p>\n\n\n\n<ol start=\"1\" class=\"wp-block-list\">\n<li>Grant loans or secure obligations with the Foundation&#8217;s assets in relation to its members, members of governing bodies, or employees, as well as persons with whom members, members of governing bodies, and employees of the Foundation are married, cohabiting, or in a relationship of direct kinship or affinity, collateral kinship or affinity up to the second degree, or are related by adoption, guardianship, or conservatorship, hereinafter referred to as <strong>&#8220;close persons&#8221;<\/strong>.<\/li>\n\n\n\n<li>Transfer the Foundation&#8217;s assets to its members, members of governing bodies, or employees and their close persons on terms other than in relation to third parties, in particular if such transfer is free of charge or on preferential terms.<\/li>\n\n\n\n<li>Use the Foundation&#8217;s assets for the benefit of members, members of governing bodies, or employees and their close persons on terms other than in relation to third parties, unless such use directly arises from a statutory objective.<\/li>\n\n\n\n<li>Purchase goods or services from entities in which members of the Foundation, members of its governing bodies, or employees and their close persons participate, on terms other than in relation to third parties or at prices higher than market prices.<\/li>\n<\/ol>\n\n\n\n<p class=\"has-text-align-center wp-block-paragraph\" id=\"h-15\">\u00a7 15.<\/p>\n\n\n\n<ol start=\"1\" class=\"wp-block-list\">\n<li>Declarations of intent on behalf of the Management Board of the Foundation may be made by any member of the Management Board acting individually.<\/li>\n\n\n\n<li>In matters related to incurring financial obligations exceeding <strong>PLN 100,000<\/strong>, declarations of intent shall be made by the President of the Foundation individually or by two members of the Management Board acting jointly.<\/li>\n<\/ol>\n\n\n\n<p class=\"has-text-align-center wp-block-paragraph\" id=\"h-16\">\u00a7 16.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Amendments to the Statute of the Foundation are made by the Management Board. Amendments may concern objectives specified in the founding deed.<\/p>\n\n\n\n<p class=\"has-text-align-center wp-block-paragraph\" id=\"h-17\">\u00a7 17.<\/p>\n\n\n\n<ol start=\"1\" class=\"wp-block-list\">\n<li>The Foundation may merge with another foundation for the effective implementation of its objectives.<\/li>\n\n\n\n<li>A merger with another foundation cannot take place if, as a result, the objective of the Foundation could be significantly altered.<\/li>\n\n\n\n<li>Decisions regarding a merger with another foundation are made by the Management Board.<\/li>\n<\/ol>\n\n\n\n<p class=\"has-text-align-center wp-block-paragraph\" id=\"h-18\">\u00a7 18.<\/p>\n\n\n\n<ol start=\"1\" class=\"wp-block-list\">\n<li>Financial funds and assets remaining after the liquidation of the Foundation may, by decision of the liquidator, be transferred to organizations operating in the Republic of Poland with similar objectives.<\/li>\n\n\n\n<li>The Foundation is subject to liquidation upon achieving the objectives for which it was established or upon depletion of its financial resources and assets.<\/li>\n\n\n\n<li>The decision on liquidation is made by the Management Board.<\/li>\n\n\n\n<li>The Management Board notifies the competent minister of the liquidation of the Foundation.<\/li>\n\n\n\n<li>In the event of a decision to liquidate the
